Scope
These Terms of Service govern access to and use of the Mero Productions website and related production services, unless superseded by a separate signed agreement.
Services
Mero Productions provides production-related services including scouting, equipment coordination, crew sourcing, permits, logistics, and related operational support.
Quotes and Contract Formation
Website requests and quotations are non-binding until confirmed in writing by both parties. A project is considered accepted only after formal confirmation or signed production documentation.
Client Responsibilities
Clients must provide accurate project information, timelines, and legal requirements. Delays or additional costs resulting from incomplete or inaccurate information may impact delivery and pricing.
Pricing and Payment
Fees, payment terms, and any reimbursable expenses are defined in project-specific quotes or agreements. Late payments may result in delayed delivery and, where permitted, statutory interest.
Cancellations and Schedule Changes
Cancellation, postponement, or scope changes may incur costs already committed (for example rentals, permits, crew bookings, and travel). Specific terms are defined per project agreement.
Intellectual Property
Unless otherwise agreed in writing, each party retains rights to its pre-existing intellectual property. Deliverable usage rights, licenses, and ownership are governed by the project contract.
Third-Party Services
Some production elements involve third-party vendors or partners. We coordinate these services with professional care, but their independent terms and operational constraints may apply.
Limitation of Liability
To the maximum extent permitted by law, Mero Productions is not liable for indirect, incidental, special, or consequential damages. Total liability is limited to amounts paid for the specific affected service.
Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including severe weather, natural events, labor disruptions, government restrictions, or transport failures.
Compliance and Conduct
Both parties agree to comply with applicable laws, regulations, and professional standards, including privacy and data protection obligations where relevant.
Privacy
Personal data processing is governed by our Privacy Policy. By using our services, you acknowledge that data may be processed as necessary for pre-contractual and contractual operations.
Governing Law and Jurisdiction
These terms are governed by Italian law. Unless mandatory law provides otherwise, disputes are subject to the exclusive jurisdiction of the competent courts of Palermo, Italy.
Updates
We may update these Terms from time to time. Continued use of the website or services after updates constitutes acceptance of the revised terms.
